Singleton, Vice President for University Relations, Communications and<\/p>\n<p>Legislative Affairs<\/p>\n<p>Jay Sinha, Student Representative to the Board<\/p>\n<p>&nbsp;<\/p>\n<p>On Thursday, November 16, the following Board members had dinner at the Kalnen Inn in the Jepson Alumni Executive Center with President Frawley:\u00a0 Rector Bill Poole, Vice Rector<\/p>\n<p>Nanalou Sauder, Mona Albertine, Fred Thompson, Betty Foster, Pat Revere and<\/p>\n<p>Xavier Richardson.\u00a0 President Frawley discussed a number of interesting options for the future with the members of the Board who were present.<\/p>\n<p>&nbsp;<\/p>\n<p>Following breakfast on Friday, November 17, Rector Poole reconvened the meeting of the Board at 8:48 a.m.<\/p>\n<p>&nbsp;<\/p>\n<p>On motion by Ms. Sauder, seconded by Ms. Foster, and agreed to by all Board members, they went into Closed Meeting pursuant to Section 2.2-3711(A)(5) for Discussion of Prospective Business or Industry.\u00a0 Everyone with the exception of Dr. Barra, Dr. Braymer, Dr. Chirico, Mr. Hurley, Dr. Mikhalevsky, Mr. Rountree, Dr. Singleton and President Frawley left the room.\u00a0 At the end of the discussion, on motion by Ms. Sauder, seconded by Ms. Stinger, and agreed to by all Board members, they came out of Closed Meeting.<\/p>\n<p>&nbsp;<\/p>\n<p>In compliance with the Virginia Freedom of Information Act, Ms. Sauder made a motion, seconded by Ms. Stinger, to adopt the Certification of Closed Meeting that was read and is attached to these minutes as Appendix A.\u00a0 Ms. Sauder called the roll to ascertain whether each member was in agreement with the Certification that the purpose of the Closed Meeting had been strictly adhered to.\u00a0 All members were in agreement except for Mr. Eley and Mr. Steen who were absent from the meeting.<\/p>\n<p>&nbsp;<\/p>\n<h5>Academic Affairs Committee<\/h5>\n<p>&nbsp;<\/p>\n<p>Ms. Marti Leighty, Chair of the Academic Affairs Committee, introduced the following presenters:<\/p>\n<h5><\/h5>\n<p>Dr. Stephen W. Fuller, Professor of Biology and President of the Faculty Senate, gave a brief report on the first faculty senate meeting of the semester stating that Senator John Chichester and Speaker of the House Bill Howell had attended the meeting and that work was underway to set up an endowment for legislature.<\/p>\n<p>&nbsp;<\/p>\n<p>Dr. Norah S. Hooper, Associate Professor of Education and College of Graduate &amp; Professional Studies Faculty Representative to the Board, gave a brief update stating that four faculty members had completed their requirements to receive their doctorate and that the Office of Advising Services was doing work toward a one-stop student shop at the Stafford Campus.<\/p>\n<p>&nbsp;<\/p>\n<p>Dr.Rosemary Barra, Vice President for Academic Affairs, discussed two initiatives supporting joint activities between the two campuses.\u00a0 The first involves shared positions between the two campuses with the possibility of hiring five new faculty members.\u00a0 The second initiative focuses on developments funds to support innovative programs involving both campuses.\u00a0 Proposals for this initiative are due in mid-December.<\/p>\n<p>&nbsp;<\/p>\n<p>Dr. Barra gave an update of the General Education Review Committee and its first meeting, which was held in October.\u00a0 A report is to be submitted at the end of the academic year proposing revisions and recommendations.<\/p>\n<p>&nbsp;<\/p>\n<p>Dr. Meta Braymer, Vice President for Graduate and Professional Studies and Special Assistant to the President for Strategic Initiatives and Partnerships, reported on activities at the Stafford Campus including the Leadership Colloquium, the opening of the second building, and potential partnerships with Dahlgren and Quantico.<\/p>\n<p>&nbsp;<\/p>\n<p>Dr. Barra presented the following faculty members to the Board to serve as Jepson Fellows for 2007-2008 academic year: Karen Cockrell, Computer Science; Suzanne de Janasz, Leadership and Management; Thomas Fallace, Education; Susan Fernsebner, History and American Studies; Scott Powers, Modern Foreign Languages; and Federico Schneider, Modern Foreign Languages.<\/p>\n<p>&nbsp;<\/p>\n<p>On motion by Ms. Sauder, seconded by Mr. Richardson, and agreed to by all Board members, they went into Closed Meeting pursuant to Section 2.2-3711(A)(1) for Personnel.\u00a0 Everyone with the exception of Dr. Barra, Dr. Braymer, Dr. Chirico, Mr. Hurley, Dr. Mikhalevsky, Mr. Rountree, Dr. Singleton, and President Frawley left the room.\u00a0 At the end of the discussion, on motion by Ms. Sauder, seconded by Ms. Stinger, and agreed to by all Board members, they came out of Closed Meeting.<\/p>\n<p>&nbsp;<\/p>\n<p>In compliance with the Virginia Freedom of Information Act, Ms. Sauder made a motion, seconded by Ms. Foster, to adopt the Certification of Closed Meeting that was read and is attached to these minutes as Appendix B.\u00a0 Ms. Sauder called the roll to ascertain whether each member was in agreement with the Certification that the purpose of the Closed Meeting had been strictly adhered to.\u00a0 All members were in agreement except for Mr. Eley and Mr. Steen who were absent from the meeting.<\/p>\n<p>&nbsp;<\/p>\n<p><strong><span style=\"text-decoration: underline\">Planning and Strategy and Policy Committee<\/span><\/strong><\/p>\n<p>&nbsp;<\/p>\n<p>Ms. Mona Albertine, Chair of the Planning and Strategy and Policy Committee, introduced the following presenters:<\/p>\n<p>&nbsp;<\/p>\n<p>Dr. Nina Mikhalevsky, Vice President for Strategy and Policy, reported on the development of an enrollment management plan.\u00a0 Small working groups have been created to work on areas such as recruitment and retention, orientation, and first-year experiences.\u00a0 A report will be submitted to the President by June 2007.<\/p>\n<p>&nbsp;<\/p>\n<p>Dr. Mikhalevsky reported on the upgrade to Banner 7.3 stating that the change was necessary to meet certain government regulations pertaining to financial aid.\u00a0 She also mentioned the hiring of Ms. Dana German as the Director of Information Technology.<\/p>\n<p>&nbsp;<\/p>\n<p>Dr. Meta Braymer gave an update on strategic initiatives, which included the signing of an MOU with NPS on October 16 and discussions with JWAC of Dahlgren, VARDI, Medicorp, and GEICO Insurance.<\/p>\n<p>&nbsp;<\/p>\n<h5>University Relations, Communications, and Legislative Affairs Committee<\/h5>\n<p>&nbsp;<\/p>\n<p>Ms. Nanalou Sauder, Chair of the University Relations, Communications and Legislative Affairs Committee, introduced the following presenters:<\/p>\n<p>&nbsp;<\/p>\n<p>Dr. Ronald E. Singleton, Vice President for University Relations, Communications and Legislative Affairs, reported on activities in the University Relations areas, which included branding of the University logo on all publications, the new design for the campus website, and the new policy regarding mass emails to students and employees.<\/p>\n<p>&nbsp;<\/p>\n<p>Mr. Tom Somma, Director of University Galleries, distributed a brochure regarding the Dazzle event, which is sponsored by the University and the Virginia Museum of Fine Arts.\u00a0 He mentioned that this was a wonderful educational tool and an excellent source for community outreach.\u00a0 Mr. Somma also mentioned that the accreditation for the gallery would take place in two years.<\/p>\n<p>&nbsp;<\/p>\n<p>Mr. David Berreth, Director of Gari Melchers Home and Studio, gave an update on activities at the Gari Melchers Home and Studio.\u00a0 The new studio pavilion has sponsored 45 events since its opening and the various uses are expanding.\u00a0 The \u201cLand, Sea, and Sky\u201d exhibit was very successful with approximately 3,000 visitors attending. \u00a0They have had a 22% increase in visitation.<\/p>\n<p>&nbsp;<\/p>\n<p><strong><span style=\"text-decoration: underline\">\u00a0<\/span><\/strong><\/p>\n<p><strong><span style=\"text-decoration: underline\">\u00a0<\/span><\/strong><\/p>\n<p><strong><span style=\"text-decoration: underline\">\u00a0<\/span><\/strong><\/p>\n<p><strong><span style=\"text-decoration: underline\">Administration, Audit, and Finance and Buildings and Grounds Committees<\/span><\/strong><\/p>\n<p>&nbsp;<\/p>\n<p>Mr. Fred Thompson, Chair of the Administration, Audit, and Finance and Buildings and Grounds Committees, introduced the following presenters:<\/p>\n<p>&nbsp;<\/p>\n<p>Mr. Richard V. Hurley, Vice President for Administration and Finance, gave a brief update on capital outlay planning stating that external input was received from Facility Services as well as the Budget Advisory Council, which is co-chaired by him and Nina Mikhalevsky.\u00a0 A comprehensive plan is being developed that focuses on the next six years and includes three projects that are needed quickly: 2 residence halls and installation of lighting and an artificial surface on the Goolrick field.<\/p>\n<p>&nbsp;<\/p>\n<p>Mr. Hurley reported on an amendment to the appropriations act language which would approach capital construction projects in non-traditional ways.\u00a0 He also reviewed the University financial report for the period ending October 31, 2006, noting that revenues and expenditures are in line with expectations for this point in the fiscal year.<\/p>\n<p>&nbsp;<\/p>\n<p>Ms. Shannon Williams, Assistant Controller, used a PowerPoint presentation to review the annual financial statements for the period ending June 30, 2006.\u00a0 Mr. Keith Gagnon, Director of Purchasing, reported on the use of small, women, and minority businesses to purchase goods for the University.<\/p>\n<p>&nbsp;<\/p>\n<p>Ms. Helen Vanderland, Director of Audit, and Ms. Louise Welch, IT Audit Manager, gave a status report of the Internal Audit activities, including the financial aid scholarship audit and the firewall audit.\u00a0 They mentioned work being done on the fraud reporting policy and their plans to bring that to a future Board meeting for approval.\u00a0 Ms. Vanderland commended Ms. Welch for her commitment and service to UMW, as she is leaving to take a position at Johns Hopkins University in December.<\/p>\n<p>&nbsp;<\/p>\n<p>Mr. John Wiltenmuth, Associate Vice President for Facilities Services, gave an update on capital projects, which included Gari Melchers Home and Studio work, the Lee Hall move and renovation efforts, and the progress of the Bell Tower.<\/p>\n<p>&nbsp;<\/p>\n<h5>Alumni Relations and Advancement Committee<\/h5>\n<h5><\/h5>\n<p>Ms. Pat Revere, Chair of the Alumni Relations and Advancement Committee, introduced the following presenters:<\/p>\n<p>&nbsp;<\/p>\n<p>Mr. Jeffrey W. Rountree, Vice President for Advancement, shared the draft of the Challenge brochure with the Board members and discussed the fundraising efforts and major gifts received by his office.\u00a0 He mentioned that the Phonathon event rose over $500,000 this year.<\/p>\n<p>&nbsp;<\/p>\n<p>Ms. Cynthia Snyder, Director of Alumni Relations, gave an update on alumni activities.\u00a0 She mentioned the success of the town meetings as well as the online \u201calumni news.\u201d\u00a0 Reunion weekend preparations are underway and are scheduled for June 1-3, 2007.<\/p>\n<p>&nbsp;<\/p>\n<p>Mr. Rountree presented three resolutions to the Board for their approval.<\/p>\n<p>&nbsp;<\/p>\n<h5><\/h5>\n<h5>Student Affairs Committee<\/h5>\n<p>&nbsp;<\/p>\n<p>Mr. Ben Hernandez, Chair of the Student Affairs Committee, introduced the following presenters:<\/p>\n<p>&nbsp;<\/p>\n<p>Dr. Bernard M. Chirico, Vice President for Student Affairs, distributed a calendar to each Board member from the Honduras project and discussed the honor system activities, which included students attending a conference in October.\u00a0 He mentioned that the Honor Council president was working with him in an effort to keep the case load current with trial dates, etc.<\/p>\n<p>&nbsp;<\/p>\n<p>Dr. Chirico also reported on activities in the student affairs area, which included the replacement of furniture in the residence halls, development of a self-reflection initiative for freshmen, and the hiring of a new physician in the Health Center due to the retirement of Dr. Overman.<\/p>\n<p>&nbsp;<\/p>\n<p>Mr. Jay Sinha, Student Government Association President, reported on student activities, including donations of food and clothing to the Food Bank and use of the SGA website for students to post their questions and concerns in a more effective way.\u00a0 He mentioned the success of Homecoming week and distributed pennants to the Board members.<\/p>\n<p>&nbsp;<\/p>\n<h5>Board Actions<\/h5>\n<p>&nbsp;<\/p>\n<p>Rector Poole entertained a motion for approval of the minutes.\u00a0 On motion by Mr. Revere and seconded by Ms. Sauder, the minutes from the September 7-8, full board meeting and the September 30, special board meeting were approved as distributed.<\/p>\n<p>&nbsp;<\/p>\n<p>&nbsp;<\/p>\n<p>On motion by Ms. Leighty and seconded by Ms. Foster, the following resolution was \u00a0unanimously adopted:<\/p>\n<p>&nbsp;<\/p>\n<p><strong>RESOLVED<\/strong> by The Rector and Visitors of the University of Mary Washington that the<\/p>\n<p>following individuals are appointed Jepson Fellows for the 2007-2008 academic year:<\/p>\n<p>&nbsp;<\/p>\n<p>Karen Anewalt Cockrell, Associate Professor, Department of Computer Science; <em>\u201cConnecting the Dots:\u00a0 Developing Interdisciplinary Project Modules for Computer Science Courses\u201d<\/em><\/p>\n<p>&nbsp;<\/p>\n<p>Suzanne de Janasz, Associate Professor of Leadership and Management; <em>\u201cIntegrating Service Learning into Business Education to Develop Leadership, Social Responsibility, and Communities\u201d<\/em><\/p>\n<p>&nbsp;<\/p>\n<p>Thomas D. C. Vogt,<\/p>\n<p>in Richmond, Virginia, for conservation of the frame, is hereby approved:<\/p>\n<p>&nbsp;<\/p>\n<p>JM76.216\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0 Ceremonial chair<\/p>\n<p>&nbsp;<\/p>\n<p>&nbsp;<\/p>\n<p>On motion by Mr. Thompson and seconded by Ms. Albertine, the following resolution was unanimously adopted:<\/p>\n<p>&nbsp;<\/p>\n<p><strong>RESOLVED<\/strong> by The Rector and Visitors of the University of Mary Washington that Dr. William Frawley\u2019s annual salary will be $305,138, effective November 25, 2006.<\/p>\n<p>&nbsp;<\/p>\n<p>&nbsp;<\/p>\n<p>On motion by Mr. Thompson and seconded by Ms. Sauder, the following resolution was unanimously adopted:<\/p>\n<p><strong><span style=\"text-decoration: underline\">\u00a0<\/span><\/strong><\/p>\n<p><strong>RESOLVED<\/strong> by The Rector and Visitors of the University of Mary Washington that the<\/p>\n<p>proposed language (attached) to be included in the Appropriations Act is hereby approved as<\/p>\n<p>presented. (Appendix D)<\/p>\n<p>&nbsp;<\/p>\n<p>&nbsp;<\/p>\n<p>On motion by Ms. Revere and seconded by Ms. Sauder, the following resolution was unanimously adopted:<\/p>\n<p>&nbsp;<\/p>\n<p><strong>RESOLVED <\/strong>by The Rector and Visitors of the University of Mary Washington that the Sally Watson Castle &#8217;55 &#8211; Alvey Scholarship is hereby established, and is recognized as the first fully endowed scholarship to be established as part of the Alvey Scholars Program, modeled after the prestigious Washington Scholars Program.\u00a0 The selection of recipients and management of funds will be guided by the criteria approved by the UMW Board of Visitors on May 6, 2005.\u00a0 These criteria are described below:<\/p>\n<p>&nbsp;<\/p>\n<p><span style=\"text-decoration: underline\">Selection of Recipient<\/span><\/p>\n<p>&nbsp;<\/p>\n<ol>\n<li>The scholarship shall be awarded to an entering freshman who is an out-of-state student (non-resident of the Commonwealth of Virginia) who is accepted to the University of Mary Washington through the \u201chonors\u201d admissions program, with preference to National Merit Scholar semi-finalists and above.<\/li>\n<\/ol>\n<p>&nbsp;<\/p>\n<ol>\n<li>The scholarship shall be renewable annually, up to a maximum of four academic years, provided the recipient maintains a minimum grade point average of 3.25 during the first semester and a 3.5 cumulative grade point average thereafter, on a 4.0 grade point system.<\/li>\n<\/ol>\n<p>&nbsp;<\/p>\n<ol>\n<li>The recipient must be a full-time student (minimum of 15 credit hours per semester) and reside on campus.\u00a0 Scholarship support will not be provided for studying abroad.<\/li>\n<\/ol>\n<p>&nbsp;<\/p>\n<ol>\n<li>Preference shall be given to a student who has demonstrated a commitment to community service and leadership qualities in secondary school and shows promise for providing service and leadership to the University and its community in the future.<\/li>\n<\/ol>\n<p>&nbsp;<\/p>\n<ol>\n<li>Preference shall be given to a student who has participated in extracurricular activities during secondary school, and who intends to continue to participate in extracurricular activities at the University of Mary Washington.<\/li>\n<\/ol>\n<p>&nbsp;<\/p>\n<ol>\n<li>Selection of the recipient shall be made by the Vice President for Enrollment.\u00a0 An advisory system, with the involvement and participation of alumni, faculty and administrators, may be assembled for the purpose of interviewing candidates and making finalist recommendations.<\/li>\n<\/ol>\n<p>&nbsp;<\/p>\n<ol>\n<li>In the event that no applicant completely meets the above criteria, the University shall be permitted to award the scholarship to the student most closely meeting the spirit of the criteria.<\/li>\n<\/ol>\n<p>&nbsp;<\/p>\n<p><strong>BE IT FURTHER RESOLVED <\/strong>that the Board appreciates the generosity of Sally Watson Castle &#8217;55 and Castle Energy Corporation in establishing this scholarship.\u00a0 Mrs. Castle values her experience at Mary Washington and wishes to assist non-resident students in reaching their goals at the University.\u00a0 The institution gratefully acknowledges Mrs. Castle\u2019s commitment to the many students who will benefit from this scholarship in perpetuity.<\/p>\n<p>&nbsp;<\/p>\n<p>&nbsp;<\/p>\n<p>On motion by Ms. Revere and seconded by Ms. Foster, the following resolution was unanimously adopted:<\/p>\n<p>&nbsp;<\/p>\n<p><strong>WHEREAS<\/strong>,<strong> <\/strong>Irene Piscopo Rodgers &#8217;59 has made a generous gift to the University, and<\/p>\n<p>&nbsp;<\/p>\n<p><strong>WHEREAS, <\/strong>the gift from Irene Piscopo Rodgers &#8217;59 has been made in honor of her parents, Justin and Helen Piscopo, and<\/p>\n<p>&nbsp;<\/p>\n<p><strong>WHEREAS, <\/strong>the gift amount adheres to the policies of the University&#8217;s Donor Recognition Policy as approved by the Board of Visitors of the University of Mary Washington and is designated for the purchase of a transmission electron microscope contained within the laboratory;<\/p>\n<p>&nbsp;<\/p>\n<p><strong>NOW, THEREFORE, BE IT RESOLVED <\/strong>by The Rector and Visitors of the University of Mary Washington that the microscopy laboratory in Jepson Science Center, currently room 103, is hereby named the Justin and Helen Piscopo Microscopy Laboratory.<\/p>\n<p>&nbsp;<\/p>\n<p><strong>BE IT FURTHER RESOLVED <\/strong>that the Board of Visitors expresses its sincere appreciation to Irene Piscopo Rodgers for her most generous gift in establishing this lasting tribute to her parents, Justin and Helen Piscopo.<\/p>\n<p>&nbsp;<\/p>\n<p>&nbsp;<\/p>\n<p>On motion by Ms. Revere and seconded by Ms. Leighty, the following resolution was unanimously adopted:<\/p>\n<p>&nbsp;<\/p>\n<p><strong>RESOLVED <\/strong>by The Rector and Visitors of the University of Mary Washington that the Marjorie Meredith Poyck Scholarship established on May 12, 2000 will be guided by the following amended criteria:<\/p>\n<p>&nbsp;<\/p>\n<p><span style=\"text-decoration: underline\">Selection of Recipient<\/span><\/p>\n<p>&nbsp;<\/p>\n<p>1.\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0 The scholarship shall be awarded on an annual basis to a student at the University of Mary Washington who is a child or grandchild of an alumnus of the University.<\/p>\n<p>&nbsp;<\/p>\n<p>2.\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0 Preference shall be given to a student with demonstrated financial need.<\/p>\n<p>&nbsp;<\/p>\n<p>3.\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0 The selection of the recipient shall be made by the Associate Dean of Financial Aid.<\/p>\n<p>&nbsp;<\/p>\n<p>4.\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0 In the event that no applicant completely meets the above criteria, the University shall be permitted to award the scholarship to the student most closely meeting the spirit of the criteria.<\/p>\n<p>&nbsp;<\/p>\n<p><strong>BE IT FURTHER RESOLVED <\/strong>that the Board appreciates the generosity of the UMW Alumni Association in establishing the Mary Washington College Alumni Association Endowed Scholarship in 1994 to benefit future generations of alumni children and grandchildren, and, in 2000, amending the name of the scholarship to be the Marjorie Meredith Poyck Scholarship, in recognition of Mrs. Poyck&#8217;s leadership and vision as the 1993-94 president of the Alumni Association that created the original scholarship.\u00a0 This amendment to the criteria was made with the agreement of the honoree, Marjorie Meredith Poyck.<\/p>\n<p>&nbsp;<\/p>\n<h5>President\u2019s Remarks<\/h5>\n<p>&nbsp;<\/p>\n<p>Dr. Frawley mentioned that the CORE Planning Group has come together and has worked very hard to bring the two campuses together as a single
